Michigan Annual Statement: What You Need to Know

Michigan does not call it an "annual report" — the state uses the term "Annual Statement." But the concept is the same: once per year, your business confirms its current information with the Department of Licensing and Regulatory Affairs (LARA) and pays a filing fee. Miss the deadline and you face penalties.

Key Details at a Glance

Detail Information
Filing name Annual Statement
Due date February 15 each year
Filing fee $25
Late penalty $50
Filed with Department of Licensing and Regulatory Affairs (LARA)
Filing method Online at michigan.gov/lara or by mail

Note: Michigan Annual Statements are filed with LARA, not the Secretary of State. This trips people up because most states use the SOS for business filings.

What the Annual Statement Requires

Your filing confirms basic information about your business entity:

  • Legal entity name
  • Resident agent name and registered office address
  • Principal business address
  • Names and addresses of managers, members, officers, or directors (varies by entity type)
  • Nature of business activity

Most of this information carries forward from your previous filing. You only need to update anything that changed during the year.

Consequences of Missing the February 15 Deadline

Immediate: LARA adds a $50 late fee on top of the standard $25 filing fee. Your total jumps to $75.

Ongoing: If you continue ignoring the filing, LARA can administratively dissolve your entity. A dissolved LLC or corporation loses its legal protections. You cannot sue in Michigan courts on behalf of the entity, your liability shield may be compromised, and you lose the right to use your business name.

Reinstatement: Bringing a dissolved entity back to life requires additional filings and fees beyond the standard Annual Statement cost. Much cheaper and simpler to just file on time.

How We Help You Stay Compliant

As your resident agent, we track your Annual Statement deadline and send you advance reminders. You will receive notification well before February 15 so you have time to review your information, make updates if needed, and submit the filing before the deadline hits.

This compliance tracking is built into your $99/year service — no additional charge.

We also forward any LARA correspondence about your Annual Statement the same day we receive it. If the state sends a reminder, notice, or warning, you will know about it immediately.

Other Michigan Compliance Obligations

Beyond the Annual Statement, Michigan businesses should be aware of:

  • Resident agent maintenance — You must have a valid resident agent at all times. If your agent resigns or becomes unavailable, update your records with LARA promptly.
  • Address changes — If your principal business address changes, update LARA.
  • Entity amendments — Changes to your business name, management structure, or other formation details require separate filings.
  • Change of resident agent — $5 filing fee when switching agents.

File Your Annual Statement

You can file directly through the LARA website at michigan.gov/lara. The online system walks you through each field. Have your entity ID number ready and know your current resident agent details.

If you are our client, the resident agent section is straightforward — list our Michigan address as your registered office.
