These Terms of Service ("Terms") govern your use of the website michiganregisteredagent.co (the "Site") and the resident agent services ("Services") provided by Michigan Registered Agent.co ("we," "us," or "our"). By using our Site or enrolling in our Services, you agree to be bound by these Terms.

1. Description of Services

Michigan Registered Agent.co provides resident agent services for business entities registered in Michigan, including:

• Maintaining a physical Michigan street address as your registered office with the Department of Licensing and Regulatory Affairs (LARA)
• Accepting service of process and official documents on your behalf during business hours
• Scanning received documents and delivering them to you electronically
• Providing access to a secure online document portal
• Sending compliance reminders for filing deadlines

2. Eligibility

To use our Services, you must be at least 18 years old and have legal authority to act on behalf of the business entity you are enrolling. You must provide accurate, complete, and current information during enrollment.

3. Service Term and Fees

Our resident agent service costs $99 per year. The service term begins on your enrollment date and renews annually unless cancelled. We may adjust pricing with at least 30 days written notice before your renewal date.

4. Payment Terms

Payment is due at enrollment and upon each annual renewal. We accept major credit cards and other payment methods displayed during checkout. If a renewal payment fails, we will notify you and may suspend Services if payment is not received within 15 days.

5. Your Obligations

As a client, you agree to:

• Provide accurate business entity information and update it if anything changes
• File all required state documents (formation papers, change of agent forms, annual statements) with LARA
• Retrieve and respond to forwarded documents in a timely manner
• Maintain your entity in good standing with the state of Michigan
• Not use our Services for any unlawful purpose

6. Document Handling

We accept documents delivered to your registered address during normal business hours (Monday through Friday, 8 AM to 5 PM). Documents are scanned and forwarded electronically, typically within the same business day. We are not responsible for interpreting, acting upon, or providing legal advice regarding documents received. Physical originals are retained for a reasonable period before secure destruction.

7. Limitations of Service

Michigan Registered Agent.co is not a law firm, accounting firm, or business formation service. We do not provide legal advice, tax guidance, or entity formation services. Our Services are strictly limited to the resident agent functions described herein. Consult licensed professionals for legal or tax matters.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claim arising from the Services shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable for delays caused by events beyond our reasonable control, including postal delays, natural disasters, or system outages
• We are not liable for consequences arising from your failure to act on forwarded documents

9. Indemnification

You agree to indemnify and hold harmless Michigan Registered Agent.co, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your business activities.

10. Cancellation

You may cancel your Services at any time by emailing support@michiganregisteredagent.co. Cancellation takes effect at the end of your current annual term. No partial refunds are issued except at our sole discretion. Upon cancellation, you are responsible for appointing a replacement resident agent with LARA to avoid a compliance gap.

11. Termination by Us

We reserve the right to terminate Services if you violate these Terms, use Services for unlawful purposes, or fail to pay fees after notice. In such cases, we will provide reasonable notice and cooperate in transitioning your agent designation.

12. Governing Law

These Terms are governed by the laws of the State of Michigan. Disputes arising from these Terms or Services shall be resolved in courts located in Ingham County, Michigan.

13. Modifications

We may update these Terms from time to time. Revised Terms will be posted on this page with an updated effective date. Your continued use of the Site or Services after posting constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction, the remaining provisions remain in full effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement between you and Michigan Registered Agent.co regarding the Services described herein.
